Become A Carrier — Broker-Carrier Agreement

This Broker/Carrier Agreement is being entered into by and between TRANSWORTH LOGISTICS INC, a CORPORATION (hereinafter referred to as "BROKER"), and the CARRIER named above.

I. PARTIES
A. TRANSWORTH LOGISTICS INC is the "Broker" as defined under 49 U.S.C. § 13102(2). BROKER will arrange for the freight tendered by a shipper to be transported by CARRIER, but BROKER is not engaged in the business of and will not act as a "Carrier," "Motor Carrier," or "Freight Forwarder."
B. CARRIER hereby agrees to transport freight identified by BROKER as requiring transportation services.

II. RECITALS

1. Term: One (1) year commencing on the date listed above, automatically renewing for consecutive one-year terms unless terminated with thirty (30) days written or electronic notice.
2. Broker Requirements: BROKER warrants it is licensed to arrange transportation of freight and maintains the required $75,000.00 surety bond or trust fund agreement.
3. Broker Obligations: BROKER shall pay CARRIER for services rendered in accordance with issued Load Confirmations upon receipt of proof of delivery and invoice.
4. Carrier Obligations: CARRIER warrants at all times it will act as a licensed and authorized motor carrier under 49 U.S.C. § 13102, solely responsible for the safe operation of equipment and drivers, and will not have an unsatisfactory or conditional U.S. DOT safety rating.
5. Food Protocols: All equipment used for food-grade products must comply with the Sanitary Food Transportation Act and Food Safety Modernization Act of 2011, maintaining trailer seal integrity until removed by authorized consignee personnel.
6. Independent Contractor Relationship: CARRIER and BROKER are independent contractors.
7. No Re-Brokering / Double Brokering: CARRIER will not re-broker, assign, or interline shipments without prior express written consent of BROKER.
8. Non-Solicitation of Shippers: CARRIER agrees not to directly or indirectly solicit shippers introduced under this Agreement for two (2) years.
9. Insurance Minimum Limits:
   • General Liability: $1,000,000
   • Commercial Auto / Motor Vehicle Liability: $1,000,000 ($5,000,000 if Hazmat)
   • All Risk Broad Form Motor Truck Cargo Legal Liability: $100,000
   • Workers' Compensation: Statutory limits as required by law
   • Required Certificate Wording: "Brokerage, subsidiaries, affiliates, and Shippers are listed as additional insured on the auto liability and general liability as their interest may apply."
10. Choice of Law & Indemnification: Governed by the laws of the State of Georgia. CARRIER shall defend, indemnify, and hold harmless BROKER and its shipper customers from claims arising out of CARRIER's performance.
